Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cue the Moment mobile application (the "App"), operated by Cue the Moment ("we," "us," or "our").

By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the App.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this requirement.

2. Description of the App

Cue the Moment is a music cueing and playback tool designed to help users organize and play audio during events. The App allows users to upload, manage, and control their own audio files for personal or event use.

Cue the Moment does not provide music, audio recordings, or licenses of any kind.

3. User Accounts

You are responsible for maintaining the confidentiality of your account and for all activity that occurs under your account.

You agree to:

  • Provide accurate and complete information when creating your account

  • Keep your account information up to date

  • Maintain the security of your login credentials

4. User Content & Music Rights

You retain ownership of any audio files or other content you upload to the App ("User Content").

By uploading User Content, you represent and warrant that:

  • You own the content, or

  • You have obtained all necessary rights, licenses, and permissions to use, upload, and play the content through the App.

You are solely responsible for your User Content and for complying with all applicable copyright, performance rights, and intellectual property laws.

Cue the Moment:

  • Does not verify music ownership or licensing

  • Does not provide public performance licenses (including but not limited to ASCAP, BMI, SESAC, or similar organizations)

  • Is not responsible for any copyright or licensing violations arising from User Content

Responsibility for obtaining any required licenses rests entirely with the user and/or the event venue.

Cue the Moment does not determine whether an event qualifies as a public or private performance under applicable law. Users are solely responsible for understanding and complying with all applicable performance licensing requirements.

4A. Storage, Sync, and Offline Playback

The App may store User Content locally on your device and/or securely in cloud storage associated with your account to enable synchronization across devices and offline playback functionality.

Offline playback availability may vary based on device storage, operating system limitations, account status, or user settings.

Cue the Moment does not guarantee continuous availability of User Content across devices and is not responsible for data loss resulting from:

  • Device deletion

  • Account deletion

  • Subscription lapse

  • Operating system updates

  • Third-party service disruptions

5. Prohibited Uses

You agree not to:

  • Upload or use content you do not have legal rights to

  • Use the App for any unlawful purpose

  • Circumvent or attempt to bypass payment systems or security features

  • Reverse engineer, copy, or resell the App or its code

  • Interfere with the App’s operation or other users’ experience

We reserve the right to suspend or terminate access for violations of these Terms.

6. Payments, Subscriptions, and Free Trials

Certain features of the App may require payment through Apple’s In-App Purchase system.

Payments and subscriptions:

  • Are processed by Apple

  • Automatically renew unless canceled through your Apple ID settings

  • Are subject to Apple’s refund policies

Cue the Moment does not control Apple’s billing or refund decisions.

7. Live Event Disclaimer

The App is provided as a tool, not as a professional DJ, audio engineering, or event coordination service.

You acknowledge and agree that live event playback involves inherent risks.

Performance may be affected by:

  • Device limitations

  • User error

  • Battery life

  • Connectivity issues

  • Venue conditions

  • Third-party equipment

Cue the Moment makes no guarantee of uninterrupted, error-free, or flawless playback during live events.

8. Disclaimer of Warranties

The App is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

We do not guarantee that the App will meet your expectations or be available at all times.

9. Limitation of Liability

To the fullest extent permitted by law, Cue the Moment shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • Event disruptions

  • Lost data

  • Lost profits

  • Emotional distress

  • Audio or playback failures

Our total liability for any claim shall not exceed the amount you paid for the App, if any, in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Cue the Moment from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the App

  • Your User Content

  • Any violation of copyright or licensing laws

  • Your violation of these Terms

This obligation applies especially to music and audio rights.

11. Termination

You may stop using the App at any time.

We reserve the right to suspend or terminate access to the App if you violate these Terms or misuse the service.

12. Changes to These Terms

We may update these Terms from time to time.

Continued use of the App after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles.

14. Account Deletion and Data Removal

Users may request deletion of their account and associated stored data by contacting:

Upon account deletion, cloud-stored User Content may be permanently removed. Local files stored on a user's device must be manually deleted by the user.

15. Force Majeure

Cue the Moment shall not be liable for any failure or delay resulting from causes beyond our reasonable control, including but not limited to:

  • Internet outages

  • Device malfunction

  • Software conflicts

  • Third-party service interruptions

  • Acts of God

  • Venue conditions

  • Government actions

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.

17. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in the State of Illinois, except where prohibited by law.

Cue the Moment ("we," "us," or "our") respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, and protect information when you use the Cue the Moment mobile application (the "App").

1. Information We Collect

Information You Provide

We may collect information you provide directly, including:

  • Account information such as your email address and name

  • Authentication information when you sign in using Apple, Google, or other supported login methods

  • Communications you send to us, such as support requests or feedback

Audio and Content Information

Cue the Moment allows you to upload and manage your own audio files for playback.

Audio files may be stored locally on your device and/or securely in cloud storage associated with your account to enable synchronization across devices and offline playback functionality.

We do not claim ownership of your audio content. Audio files are not reviewed by us and are not shared with third parties except as necessary to operate the App’s core functionality, such as secure cloud storage providers.

Automatically Collected Information

When you use the App, we may automatically collect limited technical information, including:

  • Device type and operating system

  • App usage data

  • Crash logs and diagnostic information

We do not access, listen to, analyze, or monitor the contents of your uploaded audio files.

2. How We Use Information

We use the information we collect to:

  • Provide and operate the App

  • Manage user accounts and authentication

  • Process transactions through Apple’s In-App Purchase system

  • Respond to support requests

  • Improve app functionality, performance, and user experience

  • Comply with legal obligations

We may occasionally communicate with users about product updates, service offerings, or related features. Users may opt out of non-essential communications at any time.

We do not use your information for targeted advertising.

3. Payments

All payments and subscriptions are processed by Apple through the App Store. We do not collect or store your payment card details.

Apple’s handling of payment information is governed by Apple’s own privacy policies.

4. Data Sharing

We do not sell your personal information.

We may share information only in the following limited circumstances:

  • With trusted third-party service providers that support core app functionality, including cloud storage and database providers, authentication services, analytics services, and crash reporting tools

  • When required by law or legal process

  • To protect the rights, safety, or integrity of Cue the Moment or its users

These providers are contractually obligated to safeguard your information.

5. Data Storage and Security

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect your information.

Your information may be processed and stored in the United States or other jurisdictions where our service providers operate.

You may:

  • Access or update your account information within the App

  • Request deletion of your account and associated data

9. Data Retention

If you delete your account, cloud-stored data associated with your account may be permanently deleted, subject to backup and legal retention requirements. Deleted data may not be recoverable.
